TERMS OF SERVICE

These Terms of Service ("Agreement") govern the design and development services provided by Chemali Digital ("we", "us") to clients ("you", "Client") who engage us to build or maintain a website. By engaging our services, you agree to the terms below.

1. SCOPE OF WORK

Each engagement is defined by a written proposal or statement of work that lists the deliverables, timeline, and price. Work outside that scope is considered an additional request and may be quoted separately.

2. PAYMENT TERMS

Unless otherwise stated, projects require a 50% deposit before work begins and the remaining 50% upon completion and before final files are transferred or the site is launched. Late payments may pause the project until resolved.

3. CLIENT RESPONSIBILITIES

You agree to provide content (text, images, branding assets), feedback, and approvals in a timely manner. Significant delays in providing materials or feedback may extend the project timeline.

4. REVISIONS

Each project includes a defined number of revision rounds described in the proposal. Additional revisions beyond that are billed at our standard hourly rate.

5. OWNERSHIP & LICENSING

Upon full payment, you own the final delivered website — including custom design and code created specifically for your project. Pre-existing tools, libraries, frameworks, and any reusable components we own remain our property and are licensed to you for use on your site.

6. THIRD-PARTY SERVICES

Some sites rely on third-party services (hosting, email, payment processors, booking tools, analytics, etc.). You are responsible for any subscription or usage fees charged by those providers, and you agree to their respective terms.

7. HOSTING & MAINTENANCE

Hosting and ongoing maintenance are not included unless specifically agreed in writing. If you choose to retain us for maintenance, terms will be outlined in a separate service agreement.

8. CONFIDENTIALITY

Each party agrees to keep confidential any non-public business information shared during the engagement. We may, however, display the completed website in our portfolio and case studies unless you specifically request otherwise in writing.

9. WARRANTIES & LIABILITY

We deliver our work with care and professional skill. After launch, we provide a 14-day window to report bugs in the code we authored, which we will fix at no cost. Beyond that, our liability for any claim is limited to the total fees paid by you for the project in question.

10. TERMINATION

Either party may terminate an engagement in writing. If you terminate after work has begun, you are responsible for paying for work completed up to the termination date.

11. GOVERNING LAW

This Agreement is governed by the laws of the Province of Quebec, Canada. Disputes shall be resolved in the courts of Montreal, Quebec.

12. ENTIRE AGREEMENT

This document, along with any signed proposal, constitutes the full agreement between you and Chemali Digital regarding the services described, and supersedes any prior discussions or representations.
